THESE TERMS AND CONDITIONS GOVERN YOUR SUBSCRIPTION TO AND USE OF THE GROMI SCALE PLATFORM. PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY COMPLETING THE REGISTRATION PROCESS, CREATING AN ACCOUNT, OR ACCESSING OR USING ANY PART OF THE GROMI SCALE PLATFORM, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS AND CONDITIONS, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH GROMI SCALE, (3) THE INFORMATION YOU PROVIDED IN CONNECTION WITH YOUR REGISTRATION FOR THE GROMI SCALE PLATFORM IS ACCURATE AND COMPLETE, AND (4) YOU HAVE THE AUTHORITY TO ENTER INTO THESE TERMS ON BEHALF OF YOURSELF OR THE BUSINESS ENTITY YOU REPRESENT.

ONCE ACCEPTED, THESE TERMS AND CONDITIONS FORM A BINDING LEGAL AGREEMENT BETWEEN YOU (OR THE BUSINESS ENTITY YOU REPRESENT) AND GROMI SCALE, INCLUDING ITS OFFICERS, DIRECTORS, AFFILIATES, SUCCESSORS, AND ASSIGNS (REFERRED TO AS "GROMI," "WE," OR "US"). THIS AGREEMENT GOVERNS YOUR ACCESS TO AND USE OF THE GROMI SCALE PLATFORM AND ALL OTHER INTERACTIONS WITH GROMI RELATED TO THIS SERVICE.

GROMI reserves the right to make amendments to these Terms and Conditions at any time. Any updates will take effect immediately upon publication. By continuing to use the GROMI Scale Platform after changes have been posted, you confirm your acceptance of the revised Terms and Conditions.

NO GUARANTEE OF OUTCOMES

While the GROMI Scale Platform is designed to provide robust tools and strategies to support business growth and scaling, we do not guarantee specific outcomes or financial returns. Your success depends on your dedication, decisions, and the application of our platform. By using the GROMI Scale Platform, you accept responsibility for the results or lack thereof and acknowledge that success is a shared effort.

ENTIRE AGREEMENT

These Terms and Conditions constitute the complete understanding between the parties regarding the subject matter herein and replace all prior agreements, discussions, and communications, whether written or verbal.

FEES AND AUTO-RENEWAL

To ensure seamless access to the GROMI Scale Platform, you agree to maintain up-to-date and accurate billing information, including your name, address, payment details, and contact number. Subscription fees are billed in advance, either monthly or annually, depending on your chosen plan. Fee structures may be subject to adjustment, with prior notice provided. Payment will be automatically processed using the payment details on file when fees are due.

NOTICES

All official notices must be in writing. Communications to GROMI should be directed to [email protected]. We will contact you via the email address associated with your account. It is your responsibility to keep this contact information current. Notices will be considered effective upon receipt. Please be advised that messages sent through general support systems do not constitute legal notice where formal notice is required.

LIMITATION OF LIABILITY

Our liability is strictly limited to direct compensatory damages. We will not be held accountable for indirect, incidental, consequential, or punitive damages, including loss of profits or business reputation. Under no circumstances will our total liability exceed the total amount paid by you for the services provided. These limitations apply regardless of the failure of essential remedies.

INDEMNIFICATION

You agree to indemnify and hold GROMI harmless against all claims, demands, and liabilities arising directly or indirectly from your use of the GROMI Scale Platform. This includes, but is not limited to, issues stemming from misuse, breach of these Terms, negligence, or non-compliance with applicable laws.

CLASS ACTION WAIVER

To the fullest extent permitted by law, you waive the right to bring any claim or dispute as part of a class, consolidated, or representative action.

WAIVER AND SEVERABILITY

Any waiver by GROMI of a provision in these Terms will not constitute a continuing waiver or affect other provisions. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full effect. Where necessary, invalid provisions will be replaced with valid ones that best achieve the original intent.

GOVERNING LAW

These Terms and Conditions, and any disputes arising from them, will be governed by the laws of the Middle East. Both parties irrevocably agree that any proceedings related to these Terms will take place within the Middle East jurisdiction.

FORCE MAJEURE

GROMI is not liable for delays or non-performance caused by events beyond its reasonable control, including acts of God, wars, pandemics, or government restrictions. Efforts will be made to minimise disruptions in such events.

TERMINATION

GROMI reserves the right to terminate your subscription and access to the GROMI Scale Platform at any time. Upon termination, all related data may be removed, and GROMI assumes no responsibility for retaining or forwarding such information. You may cancel your subscription by providing a 30-day written notice. Fees incurred prior to cancellation remain your responsibility.

ELECTRONIC SIGNATURES

By registering on our platform, you consent to conduct transactions electronically. This consent includes agreeing to these Terms via electronic signature, which holds the same legal validity as a handwritten signature. You are responsible for maintaining the necessary hardware and software to access and store electronic records.

CHANGES TO THE TERMS AND CONDITIONS

The most current version of these Terms will govern your use of the GROMI Scale Platform. Updates to the Terms will be posted on the platform. Continued use following changes indicates your acceptance of the updated Terms.
